Functions Overseen: Leads Company merger, acquisition and capital markets (corporate fundings, risk transfers, structured finance) transactions by managing transactions from beginning to end, with regularly consulting with Department VP.

Quantitative Scope: Leads project teams that vary in size from half a dozen to two dozen employees depending on the project. Project team spans legal, tax, accounting, regulatory, human resources, and members from business units. Also, manages directly up to 2 financial analysts/senior consultants in support of managing transactions.

Position Purpose: Lead transactions with assets values (or insurance in force values) up to and over $1billion to drive profitability and to protect franchise for Mutual, NF and Company.
• Transaction point person managing mergers/acquisitions and capital market transactions.
• Lead diverse group and complex project plan, ensuring timely and quality transaction.
• Extensive knowledge in a variety of subject areas and in business development tools.
• Negotiation and coordination with Senior Staff, including Presidents/CFOs for divisions within a P&L and with outside parties.
• Manage Investment Banks and set clear expectations for project participation.
• Design and execute complex funding or risk transfer structures with Bankers, Rating Agencies and internal Company Constituents.
• Display technical valuation expertise for assessing company values.
• Process management expertise to ensure that transactions are completed thoroughly to protect commitments and drive profitability.
• Maintain center of excellence for other business units in acquisition framework and approvals.
• Record keeping and follow-up on commitments made during transactions.
• Building and staying abreast of industry developments.
• Execute Operational and Strategic Planning during and through transactions.
• Coordinate/prepare Board and Finance Committee presentations for approvals as required.
• Close working relationships and coordination with business units, Finance, ERM, Reinsurance, Legal and Strategy.

Essential Responsibilities: Lead Corporate Transaction/ Financing/ Structuring Projects and successfully manage transaction process from strategy setting to close and integration.
• Assemble, lead and motivate cross functional due diligence team and execute diligence
• Drive valuation activities.
• Direct advisors assisting with transactions including investment bankers, outside counsel, actuaries, modeling firms and others.
• Negotiate and obtain most favorable transaction terms.
• Manage transaction structuring and execution with Business Units.
• Identify and Direct resolution of rating agency issues to ensure optimal treatment by RAs on key rating levers for transactions.
Ensure successful documentation, database/hard copy file and post-close activities.

Documentation, Process Improvements for M&A, emphasizing consistency, thoroughness, documentation, and post close processes.

Develop Business Unit Acquisition/Divestiture Strategy in collaboration with the business unit and strategy teams.
• Provide expertise to business unit leaders on identifying acquisition targets and enhancing business unit strategy through business development.
• Incorporate flexibility in the target selection process so it can flex from product focus to customer segment focus through collaboration with senior leaders.
Establish and implement process for assigned areas.

Drive Continuous Improvement in Corporate Development functions.

Industry Expertise: Maintain SME expertise in Company

core businesses and competitors.

 

Employment Guidelines:
Education: MBA Finance preferred.
Experience: Merger and Acquisition Experience preferred. Corporate finance management and analysis, investor relations, project management useful.
Skills: Strong negotiation, project management, corporate/financial analysis, communications, insurance/financial service business knowledge and leadership required.
